Welcome to Serpwe. Serpwe is a web-based software application that helps you get deep insights into your competitors' SEO strategies and understand how they're creating and utilizing topical clusters. Serpwe is offered by Warewe Consultancy Pvt Ltd (“Serpwe”), subject to the following Terms of Service (“TOS”).
BY USING SERPWE, YOU ARE AGREEING TO BE BOUND BY THESE TOS. IF YOU DO NOT AGREE TO THESE TOS, DO NOT USE SERPWE. Serpwe reserves the right to update and change these TOS from time to time without notice. Any new features that augment or enhance the current Serpwe, including the release of new tools and resources, shall be subject to these TOS.
Use of Serpwe is open only to individuals who are at least 13 years old. If you are under 18 years old, you may use Serpwe only with the involvement of a parent or guardian. Serpwe reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.
In order to use Serpwe, you must create an account. You are responsible for maintaining the security of your account and password, and you are responsible for all activities that occur under your account. You agree to notify Serpwe immediately of any unauthorised use of your account or any other breach of security. Serpwe will not be liable for any losses caused by any unauthorised use of your account.
Serpwe may terminate your access to all or any part of the application/website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using Serpwe. All provisions of these TOS that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Serpwe is protected by copyright laws and international treaty provisions. You acknowledge that Serpwe owns all rights, title and interest in Serpwe. All rights not expressly granted by these TOS are reserved by Serpwe. Without limiting the generality of the foregoing, you agree that you have no right to modify or edit any content appearing within Serpwe unless otherwise stated within specific text files posted on Serpwe.
You alone are responsible for the content of your submissions. You assume all risks associated with your content, including anyone’s reliance on its quality, accuracy, or reliability, or any disclosure by you of information in your content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use and authorise the use of your content. You may not imply that your content is in any way sponsored or endorsed by Serpwe.
You agree not to upload or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with Serpwe. Additionally, you agree not to interfere with the servers/networks connected to Serpwe or violate the terms of use of any other party’s website. You may not use Serpwe to distribute content that is unlawful, harassing, libelous, defamatory, abusive, threatening, harmful, obscene, pornographic or otherwise objectionable. You may not use Serpwe to infringe the intellectual property rights of any third party. Finally you agree not to collect or store personal data about other users.
As between you and Serpwe, Serpwe owns all right, title and interest in the product and all intellectual property rights associated therewith. Except for the limited licence expressly granted herein, nothing in these TOS shall be construed as granting you any rights whatsoever in any copyrights, trademarks or trade secrets owned by Serpwe.
If you find any content appearing within Serpwe that you feel is inappropriate, please contact us at . We will give each notification of alleged infringement full consideration and respond according to applicable laws.
Serpwe does not guarantee the accuracy of any data presented, nor the integrity of any submissions provided by users through Serpwe. You acknowledge that some material represented on Serpwe may be inaccurate or unreliable, and you agree to waive any legal rights you may have against Serpwe for any resulting damages suffered by you from relying upon such material. Serpwe does not guarantee that you may have access to Serpwe at all times, and the service may be subject to limitations, delays and other problems inherent in the use of a communication network. Serpwe will not be responsible if any network or communication service used in connection with Serpwe is interrupted, or has lapses in availability from time to time, for any reason beyond our reasonable control. In addition, Serpwe reserves the right to delete your content after it has been posted without further notice except where such deletion is due to legal requirements or involuntary circumstances.
Serpwe contains material that is derived in whole or part from Serpwe and its other produts, as well as user submissions and is protected by U.S. and foreign copyright laws, including under Copyright Management Information provisions of the Digital Millennium Act. Except where expressly stated otherwise within Serpwe or these TOS, you may not copy or distribute any part of Serpwe in any medium without prior written authorization from Serpwe or the specific third party who is credited with authorship of that material.
You agree to the terms of the Privacy Policy for Serpwe, which is incorporated herein by reference if applicable (the "Privacy Policy"). You understand that through your use of this site you consent to the collection and use (as set forth in the Privacy Policy) of this information.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
a. YOUR USE OF SERPWE IS AT YOUR SOLE RISK. SERPWE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SERPWE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. SERPWE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF SERPWE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SERPWE. SERPWE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, THAT SERPWE WILL BE UNINTERRUPTED OR ERROR-FREE.
b. SERPWE SHALL NOT BE LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES AND OTHER PROBLEMS INHERENT IN USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS SINCE THESE ARE BEYOND SERPWE CONTROL.
c. SERPWE SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
d. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS , EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
You agree to defend, indemnify and hold harmless Serpwe and its affiliates, officers, directors, employees and agents from and against any claims, actions or demands (including costs and expenses) alleging or resulting from your use of Serpwe or your breach of these TOS. Serpwe shall provide notice to you promptly of any such claim, suit or proceeding and shall assist you with reasonable counsel defending any such claim suit or proceeding as shall be requested by you and as shall be reasonably acceptable to Serpwe.
Serpwe may terminate this Agreement, your access to Serpwe and/or your account for any reason at any time. Termination of your account may include: (i) removal of access to all offerings within Serpwe; (ii) deletion of your information, files and other content associated with or inside your Account; and (iii) barring further use of Serpwe under all or otherwise applicable Serpwe policies. Further, upon termination you will remain liable for all outstanding fees incurred through the date of termination related to products or services which have been paid for on a subscription basis or any other product or service that requires payment.
These TOS constitute the entire agreement between you and Serpwe and govern your use of Serpwe, superseding any prior agreements between you and Serpwe. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Serpwe services, affiliate services, third-party content or third-party software.
If any provision of these TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these TOS remain in full force and effect. The failure of Serpwe to exercise or enforce any right or provision of these TOS shall not constitute a waiver of such right or provision. You agree that, except as otherwise expressly provided in these TOS, there shall be no third-party beneficiaries to this Agreement.
